Function

The corporation is a commerical entity owned by the Province of Ontario. The corporation owns and operates generation facilities, and is expected to maximize their value to the shareholder.

Membership

Articles of the corporation require a minimum of three to a maximum of fifteen directors. Directors are elected by the Minister, as the sole shareholder of the corporation.

Term

The election of directors, and chair of the board of directors, takes place at the annual meeting of the Shareholder, or by way of a written Shareholder Resolution in lieu of the annual meeting. The Minister (as sole shareholder) should sign the resolution not later than 15 months after the previous Annual Shareholder Resolution was signed, as per the OBCA.  

Meetings

The board meets as required.

Remuneration

Appointees are paid by the Corporation.
