Function

The university and its board promote the pursuit of learning through scholarship, teaching and research in an atmosphere of free enquiry and expression.

Membership

The board is composed of thirty-four members. The chancellor and the president are ex officio members. The Regional Municipality of Waterloo, the Corporation of the City of Waterloo and the Corporation of the City of Kitchener each appoint one member. Two members are appointed by the Board of Governors of Waterloo Lutheran Seminary, six members are appointed by the Lieutenant Governor in Council and three members are elected by the senate of the university from among its faculty members. Two members are elected by and from among the faculty. Two members are elected by and from among the undergraduate students and one member is elected by and from among the graduate students. Two members are elected by and from among the administrative staff and three alumni members who are neither faculty, administrative staff nor students are appointed by the alumni association. Eight members representative of the community-at-large are appointed by the board. The board elects annually a chair and a vice-chair from among the members appointed by the Lieutenant Governor in Council, the alumni association or the board.

Term

Members serve for a term of three years, but may not serve for more than two consecutive terms. Members are again eligible for appointment one year after the expiry date of their second consecutive term. The limit of two consecutive terms does not include service for the balance of an unexpired term.

Meetings

The board meets monthly.

Remuneration

Appointees do not receive remuneration.
