Function

The Corporation provides leadership in the development of an integrated, multi-modal transportation plan and in the co-ordination, planning, financing and implementation of that plan. The transportation plan will conform with transportation policies of growth plans prepared and approved under the Places to Grow Act, 2005 and comply with other provincial transportation policies and plans applicable to the regional transportation area. In addition, Metrolinx acts on behalf of Ontario municipalities as a central procurement agency for the procurement of local transit system vehicles, equipment, technologies and related supplies and services. The corporation is also responsible for the operation of the GO Transit system and the provision of other transit-related services. The two other operating divisions under the Corporation are the Presto integrated fare card system and the Union Pearson (UP) Express.

Membership

The Corporation is composed of the members of its board of directors. The board is composed of not more than 15 persons appointed by the Lieutenant Governor in Council on the recommendation of the Minister. The following are not eligible to be a director: an elected official at the municipal, provincial or federal level; a person appointed under Part III of the Public Service of Ontario Act, 2006; a person who is employed by or in a board, commission or agency of the provincial government (excluding persons appointed by the Lieutenant Governor in Council and excluding the chief executive officer of the Corporation); and an employee of the federal government or of a municipality in Ontario or a board, commission or agency of the federal government or a municipality in Ontario. The Lieutenant Governor in Council, on the recommendation of the Minister, designates a chair and vice-chair from among the members of the board. If the chair is absent or unable to act or if the office of chair is vacant, the vice-chair acts as chair. The Lieutenant Governor in Council, on the recommendation of the Minister, appoints a chief executive officer of the Corporation who is an employee of the Corporation.

Term

A director holds office at pleasure of the Lieutenant Governor in Council for a term determined by the Lieutenant Governor in Council and may be reappointed.

Meetings
The board meets at the call of the chair or a majority of the directors and, in any event, at least four times a year.
Remuneration

Appointees to Metrolinx are remunerated according to Schedule A, Level 2 of the Agencies and Appointments Directive except for the Chair and CEO who are remunerated at a rate set by the Lieutenant Governor in Council.
