Function

The board of directors will govern the management and operation of the St. Lawrence Seaway, pursuant to the Canada Marine Act. The federal government retains ownership of all Seaway fixed assets.

Membership

The board is composed of nine directors: five elected by corporation members representing industries using the Seaway; one elected by each member appointed by the Minister of Transport (Canada) and the Ministers of Transportation (Ontario and Quebec); and the President of the corporation. The member appointed by the Province of Ontario to elect a director is appointed by Ministerial Appointment letter.

Term

Directors serve for a term of office of not more than three years and are eligible for re-election. Directors may not serve more than two consecutive terms.

Meetings

The board meets as required, but not less than once in each financial quarter of the corporation.

Remuneration

Appointees are paid by the Board.
