Ontario Securities Commission - Board of Directors

JENNIFER FANG

Jennifer Fang is an investment professional and business leader with more than 25 years of international experience with General Motors of Canada, JP Morgan & Chase, BMO Financial Group and PwC Canada in New York and Toronto. Jennifer advises public and private companies, institutional investors, and family offices as one of very few seasoned business executives with deep insights, connections, and experience in both the Asia Pacific and Western markets. Jennifer has in-depth experience and knowledge of corporate finance & strategy; mergers & acquisitions; private equity; capital markets and corporate governance. Jennifer has sat on several public, government and NFP boards. Jennifer has an MBA degree from the University of British Columbia majoring in finance. She also has CFA and ICD.D designations.

DIETER JENTSCH

Dieter Jentsch is a corporate director on various public/private boards and a private company investor. Formerly a Senior Executive at Scotiabank with over 35 years of Global operating experience in Capital Markets, International Banking, Retail Banking/Wealth Management and Corporate /Commercial Banking. As well as being part of the Bank's Operating Committee, Executive positions held included Group Head of Global Banking & Markets, Group Head of International Banking, Executive Vice President Latin America and Executive Vice President CDN Commercial Banking. Extensive experience in managing international operations, risk management and capital allocation. Public and private company directorships are across a diverse group of industries with active participation in various Audit, Risk & Capital Allocation Committees. Mr. Jentsch holds BSc (Agr) and MBA degrees from UBC, a Certificate in Advanced Management from INSEAD and an ICD.D from the Institute of Corporate Directors.

FRANCES KORDYBACK

Frances Kordyback, of Toronto, is a member (part-time) of the Ontario Securities Commission. She is former Managing Director with Northwater Capital Management Inc., former Managing Director with CCFL Parklea, former Partner with Plaxton & Co., former Principal with Kordyback Financial Consulting, and former Vice-President of Mergers and Acquisitions with Wood Gundy (now CIBC World Markets). Her community involvement has included serving as an Advisor with Women in Leadership - Women in Capital Markets.

DAVID LEWIS

David Lewis, of Thornbury, is a member (part-time) of the Ontario Securities Commission. He is President of BEworks Research Institute, former Chief Client Officer, BEworks, former Assistant Professor with Ryerson University, former Managing Director with Barclays Wealth Americas, and former Board Chair with UBS Bank USA, UBS Financial Services Americas. His community involvement includes serving as Board Chair with the Canadian Scholarship Trust Foundation.

ELIZABETH CYNTHIA ( CINDY) TRIPP

Cindy Tripp has 30-years of experience in financial services in both Canada and the U.S. and was one of the founding partners of GMP Securities L.P. (formerly Griffiths McBurney and Partners). She held the position of Managing Director, Co-Head Trading where she had oversight of institutional trading, retail trading, securities lending, foreign exchange and risk management. Ms. Tripp has a practical understanding of the impact of regulation on Canadian broker dealers and their clients – issuers and investors. She was a member of the Capital Markets Modernization Taskforce, which delivered its final report in January 2021 to the Minister of Finance. The report included 67 recommendations that drive innovation, competition, diversity and growth in Ontario. She is a former Director of Avante Logixx, former Chair of the Board of Governors of the Bishop Strachan School, a Director of the Georgian Bay Land Trust, and a former Director of Toronto Financial Services Alliance.

HARI PANDAY

Mr. Panday is a seasoned executive and senior corporate director, with over 38 years in financial services experience in commercial, corporate, retail and investment banking and private and capital markets in Canada, USA and India. He has restructuring experience in diversified industries, and in external, internal and IT audit. As the founding President & CEO, for ICICI Bank Canada, in 2003 he led the formation and launch of this federally chartered bank in Canada and its Canadian and US wealth and securities businesses. Mr. Panday is a Faculty member at York University, Toronto, an author, speaker and serves on select not-for-profit organizations. In 2014, he received the Fellowship of the Certified General Accountant (FCPA, FCGA). In 2012, he received The Queen Elizabeth II Diamond Jubilee Medal. He is a member of CPA Canada, Institute of Corporate Directors (ICD.D) and National Association of Corporate Directors, Washington, DC (NACD.DC).

KEVAN COWAN

Kevan Cowan has wide experience in capital markets and the financial services sector. Kevan was a partner with a large Canadian law firm practising corporate and securities law. Subsequently, Kevan held many positions in Canadian stock exchanges, including as President of TSX Markets, where he was responsible for the Toronto Stock Exchange, the TSX Venture Exchange, TMX Alpha and TMX Select. Kevan is also a past President of the TSX Venture Exchange. More recently Kevan led the national effort to advance the creation of a pan-Canadian securities regulator on behalf of nine Canadian governments. Kevan holds the ICD.D designation from the Institute of Corporate Directors.

MARY ANNE DE MONTE-WHELAN

Mary Anne De Monte-Whelan is an experienced corporate finance professional. Her background includes investment banking, equity analysis, corporate banking and risk analysis. She was an Adjunct Professor in Finance at the Rotman School of Management, University of Toronto, and also developed and delivered programs in Finance to international executives with the Executive Education programs at the Schulich School of Business, York University. She has been a speaker/lecturer on international finance and investments to diverse audiences both national and international. Ms. De Monte-Whelan is a past member of the Board of Directors of Youthlink, which also included being Chair of the Finance Committee and a member of the Audit committee; on the Board of Enterprise Ireland Wireless Advisory Board; Chair of the Baby Point Heritage Foundation; and Chair and Founder of the St. Joe’s Plate, an annual fundraising event which raises money for mental health at St. Joseph’s Hospital. She holds a Master of Business Administration degree from the University of Windsor and a Bachelor of Science degree from the University of Toronto.

DAVID GRANT VINGOE

Grant Vingoe is presently the Chair and CEO of the Ontario Securities Commission. He has been a partner with international law firms in Toronto and New York, where he specialized in the regulation of financial institutions and capital market transactions. He is a former independent director of the Investment Industry Regulatory Organization of Canada (IIROC) and was Chair of its Corporate Governance Committee. Mr. Vingoe is a graduate of Osgoode Hall Law School and received his LL.M. from the New York University School of Law. He is a member of the board of the International Organization of Securities Commissions (IOSCO) and Chairs the Policy Coordination Committee of the Canadian Securities Administrators. He is also a member of the board of Springboard Danse Montreal, a dance educational charity and a member of the advisory board of Reach the World, an educational charity that enhances social studies programs.
