Function

The government, conduct, management and control of the university and its property, revenues, business and affairs are vested in the board.
 

Membership

The board is composed of thirty-six members who shall be Canadian citizens. The president of the university, the chancellor, the mayors of the cities of Waterloo and Kitchener and the warden of Waterloo County are ex officio members. Seven members are appointed by the Lieutenant Governor in Council. The senate of the university appoints twelve members, seven from its faculty members and five, of whom two shall be graduate students, from among its student members. In addition, the full-time staff elect two members from among themselves and the board elects ten members from the community-at-large, of whom at least three shall be alumni. The community-at-large members shall be representative of the diversity of the community and shall not be faculty, staff, students or governing body members of any Ontario university or federated or affiliated college. From the community-at-large members, the board elects a chair and a vice-chair.

Term

Members serve for three years and are eligible for reappointment for a second term. Members are again eligible for appointment one year after the expiry date of the second term.

Meetings
The board meets four times a year.
Remuneration

Appointees do not receive remuneration.
